1. Overview

This promotion ("Promotion") is offered by Veria Labs, Inc ("Company," "we," "us," or "our"). By participating, you ("Participant") agree to be bound by these Terms & Conditions ("Terms"). The Promotion consists of a complimentary security assessment of your application, with a prize of one (1) Apple Mac Mini awarded if the Company fails to identify at least one (1) high-severity vulnerability during the assessment.


2. Eligibility

To be eligible to participate in this Promotion, the Participant and their application must meet all of the following criteria:

  1. Company Size: The organization must employ 40 or more employees, OR have 10 or more active developers who regularly commit code to the application under review.
  2. Industry Restriction: Participants must not operate primarily as a cybersecurity company, cybersecurity consultancy, or any entity whose core business is information security services or products.
  3. Project Ownership & Type: The application submitted must:
    • Be a commercially operated product or service owned by the Participant's organization.
    • Not be a personal project, side project, hobby project, or any open-source project that the Participant does not legally own or control.
  4. Blockchain Projects: If the Participant's application is a blockchain-based project or involves smart contracts, the application must not have been previously subject to a formal security audit by any third party.
  5. Source Code Access: The Participant must be willing and legally authorized to grant the Company access to the complete source code of all repositories associated with the application under review, for the duration of the assessment. Partial access or restricted visibility into the codebase will render the submission ineligible. Source code access may be governed by a separate Non-Disclosure Agreement (NDA) and/or Data Protection Agreement. Participants may request the Company's Data Protection Policy prior to granting access.
  6. Geographic Eligibility: Participants must be located in a jurisdiction where this type of promotion is permitted by applicable law. It is the Participant's responsibility to verify local eligibility requirements.

3. How to Enter

  1. Submit your application for consideration via the designated form or contact channel provided in the Promotion advertisement.
  2. Schedule a demo or call with "SpringMacMini" in the "Additional Notes" calendar section.
  3. The Company will review your submission and confirm eligibility within 5 business days.
  4. Upon eligibility confirmation, both parties will execute any required agreements (NDA, Data Protection Agreement, etc.) before the assessment begins.

4. The Assessment

  • The Company will conduct a good-faith security assessment of the Participant's application within an agreed scope and timeframe.
  • The assessment will focus on identifying high-severity vulnerabilities, as defined by industry-standard frameworks (e.g., CVSS score of 7.0 or higher, or equivalent).
  • The scope, methodology, and duration of the assessment will be mutually agreed upon in writing prior to commencement.
  • The Company reserves the right to define what constitutes a "high-severity vulnerability" based on professional judgment and industry standards.

5. Prize

  • Prize: One (1) Apple Mac Mini (model and specifications at the Company's discretion).
  • Awarded When: The prize is awarded only if the Company fails to identify any high-severity vulnerability within the agreed scope and timeframe of the assessment.
  • No Cash Alternative: The prize has no cash value and cannot be exchanged, transferred, or substituted.
  • Taxes & Duties: The Participant is solely responsible for any applicable taxes, duties, or levies associated with receiving the prize.
  • Delivery: Prize delivery arrangements will be confirmed with the winner following conclusion of the assessment.

6. Findings & Disclosure

  • Regardless of whether a prize is awarded, the Company will provide the Participant with a written summary of all findings identified during the assessment.
  • Both parties agree to keep all assessment findings confidential in accordance with any executed NDA.
  • The Company operates under a responsible disclosure policy and will not disclose vulnerabilities publicly without prior written consent from the Participant.

7. Limitation of Liability

  • This Promotion and the associated assessment are provided "as is." The Company makes no guarantees that the assessment will identify all existing vulnerabilities.
  • The Company shall not be liable for any damages, losses, or claims arising from the assessment process or reliance on assessment findings.
  • Participation in this Promotion does not constitute a comprehensive security audit and should not be treated as a substitute for a full security program.

8. Disqualification

The Company reserves the right to disqualify any Participant who:

  • Provides false or misleading information during the application process.
  • Fails to meet or maintain eligibility requirements.
  • Withholds relevant information or restricts access in a manner that prevents a fair assessment.
  • Violates any applicable laws or these Terms.

9. General Conditions

  • The Company reserves the right to modify, suspend, or terminate this Promotion at any time without prior notice.
  • These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
  • Any disputes arising from this Promotion shall be resolved exclusively in the courts of the State of Delaware.
  • If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
